ALIGNR / LOGISTICS INTELLIGENCE

Website Terms of Use

Version 1.0 · Effective date: 24 September 2026

1. About these terms

1.1 These Website Terms of Use (the "Website Terms") apply to everyone who visits or uses askalignr.com (the "Website"), whether or not they have an Alignr account.

1.2 The Website is operated by A&A Foundry AB, registration number 559602-9685, Sweden ("Alignr", "we", "us"). Email: hello@alignr.se.

1.3 By using the Website, you agree to these Website Terms. If you do not agree, please do not use the Website.

2. How these terms relate to other Alignr documents

2.1 If you use Alignr as a merchant or provider, the Merchant Participation Terms or the Provider Participation Terms also apply. If they conflict with these Website Terms, the Participation Terms take precedence.

2.2 How we process personal data and use cookies is described in the Alignr Privacy Policy and in the cookie settings on the Website.

3. Business use

The Website is intended for businesses and their representatives. It is not intended for consumers acting in a private capacity or for anyone under 18.

4. What Alignr is

4.1 Alignr is a matching service. It helps merchants find relevant logistics providers and helps providers access relevant, qualified opportunities.

4.2 Alignr is not a logistics provider and is not a party to any agreement between merchants and providers. Alignr is not responsible for any quote, agreement, service, payment or dispute between them.

5. Information on the Website

5.1 The Website contains general information, including knowledge articles, market pages and Marketplace information about logistics providers.

5.2 The Marketplace is a factual directory for discovery and comparison. It does not contain recommendations. Relevance to a specific need is assessed only in Alignr Match.

5.3 Provider information may come from providers themselves and from public or commercially available business sources. Verified, self-reported and unknown information is shown separately. A claimed profile is not a verified profile. Information may be incomplete or out of date, and Alignr does not guarantee its accuracy.

5.4 Information on the Website is general. It is not legal, financial, tax, customs or other professional advice. Make your own assessment before relying on it.

6. How ranking works

6.1 In the Marketplace, providers are ordered by the search and filter criteria you choose. In Alignr Match, providers are selected and ranked from the merchant's operational requirements and provider capability data.

6.2 No payment, plan, badge or purchase affects Match Scores, ranking, invitations, selection or Marketplace order. Alignr does not sell placement.

7. Content moderation and reporting

This section describes how Alignr handles content under the EU Digital Services Act.

7.1 What we may review. Alignr may review provider profiles, reviews, opportunities, messages and other content on the Website to check that it is lawful, accurate and consistent with Alignr's terms. Reviews may only come from verified customer relationships or verified interactions.

7.2 What we may do. If content is illegal, misleading or breaches Alignr's terms, we may mark it as unverified or unknown, edit it, hide it, remove it, restrict its visibility, or suspend or close the related account. We may use automated checks to detect problems, but we do not close accounts on the basis of automated checks alone.

7.3 How to report content. Anyone can report content they believe is illegal or incorrect by emailing hello@alignr.se. A report should include:

  • the exact web address of the content;
  • why you believe the content is illegal or incorrect;
  • your name and email address, unless the report concerns certain serious offences where anonymity is permitted;
  • a statement that you believe the report is accurate and complete.

7.4 What happens next. If you give us your email address, we confirm that we have received your report. We handle reports in a timely, diligent and objective manner, and tell you our decision and how you can challenge it.

7.5 Statement of reasons. If we restrict your content or account and we have your contact details, we tell you what we did, why, which rule or law it was based on, whether automated means were used, and how you can challenge the decision, unless the law prevents us from doing so.

7.6 Asking us to review a decision. If you disagree with a moderation decision, you can ask us to review it by emailing hello@alignr.se within six months of the decision. We will review your request and tell you the outcome. You may also bring the matter before a competent court.

7.7 Misuse. We may temporarily suspend users who frequently post manifestly illegal content, or who frequently submit manifestly unfounded reports or review requests.

7.8 Point of contact. Users and public authorities can contact Alignr about these matters at hello@alignr.se, in English or Swedish.

8. Acceptable use

When using the Website, you must not:

  • scrape, crawl, copy or systematically extract content or data, including provider information, except for search engine indexing in line with our robots.txt file;
  • reproduce, republish or commercially exploit substantial parts of the Website or its data;
  • frame the Website or present its content as your own;
  • interfere with, disrupt or attempt to gain unauthorised access to the Website or its systems;
  • test the security of the Website without our written permission;
  • post unlawful, misleading, defamatory or infringing content;
  • use the Website to build or support a competing service.

9. Intellectual property

9.1 The Website, including its text, design, graphics, software, brand and data compilations, is protected by intellectual property rights, including copyright and the protection for catalogues and databases. These rights belong to Alignr or its licensors.

9.2 You may view the Website and share links to its pages. Any other use requires our prior written permission.

9.3 Provider names, logos and trademarks belong to their respective owners and are shown for identification only. Their display does not imply endorsement.

10. Links to other websites

The Website may contain links to websites operated by others. We are not responsible for their content, availability or data practices.

11. Availability and changes

We may update, change or remove content and features at any time. The Website is provided "as is" and "as available", and we do not guarantee uninterrupted or error-free operation.

12. Limitation of liability

12.1 To the fullest extent permitted by law, Alignr is not liable for any loss arising from your use of, or reliance on, the Website or its content, or from any dealings between merchants and providers, including indirect or consequential loss such as lost profit or lost business.

12.2 To the fullest extent permitted by law, Alignr's total aggregate liability arising out of or in connection with the Website, regardless of the legal basis of the claim, is limited to EUR 100.

12.3 Nothing in these Website Terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be limited under mandatory law.

13. General terms

13.1 Force majeure. Alignr is not liable for failure or delay caused by circumstances beyond its reasonable control.

13.2 Severability. If any provision is held invalid, the rest of these Website Terms remain in force.

13.3 Language. These Website Terms are written in English. If a translation is provided, the English version prevails.

14. Changes to these Website Terms

We may update these Website Terms. The current version is always published on this page with its version number and effective date.

15. Governing law and disputes

These Website Terms are governed by Swedish law, excluding its conflict-of-law rules. Disputes are to be settled by Swedish courts, with Gothenburg District Court (Göteborgs tingsrätt) as the court of first instance.

Merchant Participation Terms

Version 1.0 · Effective date: 24 September 2026

1. About these terms

1.1 These Merchant Participation Terms (the "Terms") form a binding agreement between A&A Foundry AB, registration number 559602-9685, Sweden ("Alignr", "we", "us"), and the company you represent ("Merchant", "you").

1.2 The Terms apply when you use Alignr as a merchant, including your account, operations profile, Alignr Match, the Marketplace and any opportunity you submit.

1.3 You accept the Terms by actively ticking the acceptance box. We record who accepted, when, and which version was accepted. You can save or download the Terms at any time from askalignr.com/terms.

1.4 The Alignr Website Terms of Use also apply. If they conflict with these Terms, these Terms take precedence. How we process personal data is described in the Alignr Privacy Policy.

2. Definitions

  • Alignr Match: the flow that captures your requirements, identifies relevant providers, explains why they are relevant and enables a qualified connection.
  • Marketplace: the public directory of logistics providers for discovery and factual comparison.
  • Provider: a third-party logistics company ("3PL") that uses Alignr.
  • Opportunity: a logistics need you submit through Alignr Match.
  • Opening window: the period during which an invited provider may open an opportunity, as described in section 7.5.
  • QOA (Qualified Opportunity Access): a provider's paid access to an opportunity that Alignr assessed as meeting its qualification criteria when the provider opened it.

3. Alignr is a matching service only

3.1 Alignr connects. It does not deliver logistics. Alignr helps you describe your logistics needs and identifies providers that are relevant to them. Alignr is not a logistics provider, carrier, warehouse operator, freight forwarder, broker, agent or representative of you or of any provider.

3.2 Alignr is not a party to your dealings with providers. Any quote, negotiation, agreement, order, payment or service between you and a provider is solely between you and that provider. Alignr does not sign, guarantee, supervise or enforce any such agreement and has no obligation to mediate disputes.

3.3 Alignr is not responsible for providers. To the fullest extent permitted by law, Alignr is not liable for anything that arises between you and a provider, including:

  • the content, accuracy, pricing or validity of quotes;
  • a provider's capacity, capabilities, certifications, insurance, financial standing or legal compliance;
  • the performance, quality, delays or non-performance of logistics services;
  • loss of, damage to or delay of goods, inventory or shipments;
  • customs, tax, product safety or regulatory matters;
  • payments, invoices, credit or insolvency between you and a provider;
  • how a provider handles information you share with it after it has opened your opportunity;
  • any dispute, claim or loss between you and a provider.

3.4 Your own assessment. Match results, explanations and Marketplace information are decision support. They do not replace your own due diligence. You are responsible for assessing providers, agreeing terms with them and ensuring your agreement protects your interests, including insurance and liability terms.

4. Price

4.1 Alignr is free for merchants. No payment card, subscription or commitment is required.

4.2 Alignr takes no success fee and no commission on any agreement between you and a provider.

4.3 If we ever introduce charges for merchants, we will notify you in advance and ask for a new acceptance before any charge applies.

5. Eligibility and your account

5.1 Alignr is for businesses only. You confirm that you represent an existing company, that you are authorised to act for it and that you are at least 18 years old.

5.2 You must keep your account information accurate and current and keep your login details secure. You are responsible for all activity under your account. Tell us promptly at hello@alignr.se if you suspect unauthorised use.

6. Qualification of opportunities

6.1 An opportunity can be matched only if Alignr assesses it as meeting all of the following qualification criteria:

  • you represent a real, existing and verifiable company;
  • a business contact involved in the 3PL decision is provided;
  • your operations profile and mandatory requirements are sufficiently complete;
  • you have a genuine intention to select or change 3PL within six months;
  • you consent to selected providers contacting you about the opportunity;
  • the opportunity is not a test, research exercise, consultancy request or duplicate.

6.2 Alignr checks company and contact information against the sources reasonably available to it and relies on what you tell us about your authority, intent, timing and operational requirements. Qualification is an assessment made at a point in time. We may ask you to clarify or complete information, and we may decline to match an opportunity that does not meet the criteria.

6.3 Your warranty. You represent and warrant, both when you submit an opportunity and while it remains active, that the qualification information you have given is accurate, complete and not misleading. Alignr and providers may rely on this.

7. How an opportunity works

7.1 Invitations. Up to five relevant providers may be invited to your opportunity. Fewer may be available. Providers are selected by relevance only.

7.2 Anonymised preview. Invited providers first see an anonymised preview with your industry or category, operational scale and ranges, markets, service expectations, integrations, special handling, timing, Match strengths and visible gaps. The preview does not show your company name, domain, named contacts or direct contact details.

7.3 Disclosure after payment. When an invited provider pays to open the opportunity, Alignr discloses to that provider your company name, organisation number, contact person, email address and telephone number, as you entered them, together with the full operational brief. You agree to this disclosure and to that provider contacting you about the opportunity.

7.4 Provider details. Until a provider has opened your opportunity, it is shown to you under a pseudonym. When a provider opens it, Alignr shares that provider's company name, contact person, email address and telephone number with you in the merchant portal and by email.

7.5 Timing and expiry. Each invited provider has an opening window of 72 hours from its invitation. A provider may buy one 48-hour extension of its own opening window while that window is still open. The opportunity expires when the opening window has closed for every invited provider. We notify you when an opportunity expires.

7.6 Independent providers. Each invited provider decides independently. Providers do not see who else was invited, who paid or what others quote.

7.7 No withdrawal of disclosed information. Once submitted and validated, an active opportunity cannot be withdrawn or deleted in the service. You can delete drafts and expired opportunities from your portal. Deleting an expired opportunity removes it from your view but does not recall information already disclosed to providers, and Alignr keeps records as described in the Privacy Policy.

7.8 Changes to your project. If your project is paused, changed or withdrawn, you must tell Alignr, and any provider that has opened the opportunity, without undue delay. Alignr may then close the opportunity to further openings.

7.9 Your decision and availability. You are not required to select a provider, accept a quote or enter into an agreement. However, while an opportunity is active, and for 30 days after a provider has opened it, you must remain reasonably contactable, respond within five business days to each provider that has opened the opportunity and contacted you, and promptly communicate any material change to your project.

7.10 If you do not respond. If you do not comply with section 7.9, Alignr may suspend your account, close the opportunity or decline new opportunities from you. A provider is not entitled to a credit or refund from Alignr only because you do not respond, and Alignr is not liable to any provider for your failure to respond.

8. Your obligations

8.1 Information you submit must be accurate, sufficiently complete and kept current, as set out in section 6.3. You must have the right to share it with Alignr and with providers as described in these Terms.

8.2 You must not use Alignr only to benchmark an existing provider, collect market research, test providers or obtain prices without a genuine intention to select or change 3PL.

8.3 Quotes you receive are confidential. You must not publish, resell or share a provider's quote with competing providers.

8.4 Where you share personal data about your colleagues or other individuals, you are responsible for having a lawful basis to do so and for informing them that the data will be shared with Alignr and with providers that open the opportunity. Alignr is responsible as controller for its own collection, storage and disclosure of that data, as described in the Privacy Policy. This does not limit any rights that an individual may have under applicable data protection law.

8.5 You must not scrape, copy or systematically extract data from Alignr, interfere with the service, test its security without our written permission, impersonate anyone or use Alignr to build a competing service.

9. Matching, ranking and fairness

9.1 Providers are selected and ranked from your operational requirements and provider capability data.

9.2 No payment, plan, badge or unlock history affects Match Scores, ranking, invitations or selection. Payment affects only a provider's access to an opportunity.

9.3 Verified information, self-reported information and unknown information are shown separately. A claimed profile is not a verified profile. A verified field only means that one fact was supported by a source or Alignr review at that time.

9.4 Match results use the labels Strong match, Good match, Potential match and More information needed. These labels describe relevance to your stated requirements, not a guarantee of any outcome.

9.5 Information about providers may come from providers themselves and from public or commercially available sources. It may be incomplete or out of date. Alignr does not guarantee its accuracy.

10. Your data

10.1 You keep ownership of the information you submit.

10.2 You grant Alignr a non-exclusive, royalty-free licence to use that information to provide, secure and improve the service, and to disclose it to providers as described in section 7.

10.3 Alignr may use submitted information to develop and improve its matching, ranking and qualification models, and to produce aggregated market statistics. Aggregation, de-identification or pseudonymisation is used where reasonably practicable. Published statistics will never identify you.

11. Confidentiality

11.1 Each party will keep the other party's non-public information confidential and use it only for the purposes of these Terms.

11.2 This does not apply to information that is public, already lawfully known to the receiving party, independently developed, or required to be disclosed by law or a public authority. Disclosures under section 7 are permitted.

12. Intellectual property

The Alignr service, brand, software, design, data compilations and content belong to Alignr or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms.

13. Availability and changes to the service

13.1 The service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, any number of relevant providers, or any response, quote or outcome.

13.2 We may change, add or remove features. We will give reasonable notice of changes that materially reduce the service.

14. Limitation of liability

14.1 To the fullest extent permitted by law, Alignr is not liable for indirect or consequential loss, including lost profit, lost revenue, lost business, lost savings, loss of goodwill or loss of data.

14.2 To the fullest extent permitted by law, Alignr's total liability to you under or in connection with these Terms is limited to EUR 100 in aggregate.

14.3 Any claim against Alignr must be notified in writing within six months of when you became aware, or should have become aware, of the circumstances giving rise to it. Otherwise the claim is lost.

14.4 Nothing in these Terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be limited under mandatory law.

15. Indemnity

15.1 You will indemnify and hold Alignr harmless from third-party claims, direct losses and reasonable legal costs to the extent caused by:

  • your breach of these Terms;
  • inaccurate, incomplete or unauthorised information you submitted;
  • a false, unauthorised or materially inaccurate opportunity, including costs of credits or refunds Alignr grants to providers as a result;
  • your unlawful conduct or infringement of third-party rights;
  • your misuse of the service; or
  • a dispute between you and a provider in which Alignr is not at fault.

15.2 Alignr will tell you promptly about any claim covered by this section and give you reasonable information about it.

16. Suspension and termination

16.1 You may close your account at any time by contacting hello@alignr.se or through your account settings. Section 7.7 continues to apply to information already disclosed.

16.2 Alignr may suspend or close your account, or close an opportunity, if you provide false information, submit tests or non-genuine demand, fail to remain contactable as required by section 7.9, abuse or manipulate the service, repeatedly misuse it, breach these Terms, or if required by law. Where reasonable, we will notify you and state our reasons.

16.3 Sections 3, 7.7, 8.3, 10, 11, 14, 15 and 18 to 20 survive termination.

17. Content moderation

Alignr may review, restrict or remove content and accounts as described in the Content moderation and reporting section of the Alignr Website Terms of Use, which also explains how to report content and how to ask us to review our decisions.

18. General terms

18.1 Force majeure. Alignr is not liable for failure or delay caused by circumstances beyond its reasonable control, including outages of hosting, payment or communication providers, cyberattacks, strikes, pandemics, war, government action or natural events.

18.2 Notices. We send notices to the email address linked to your account. You send notices to hello@alignr.se. Email notices are received the next business day after sending.

18.3 Assignment. You may not transfer your rights or obligations without our written consent. Alignr may transfer the agreement to a company in the same group or to a buyer of the Alignr business.

18.4 Severability. If any provision is held invalid, the rest of the Terms remain in force, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.

18.5 Entire agreement. These Terms, together with the documents referred to in them, form the entire agreement on their subject matter.

18.6 No waiver. A failure or delay in enforcing a right is not a waiver of that right.

18.7 Independent parties. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.

18.8 Language. These Terms are written in English. If a translation is provided, the English version prevails.

19. Changes to these Terms

We may update these Terms. Each version has a version number and effective date. We will notify you of material changes at least 30 days in advance and may require a new acceptance before you continue to use the affected features.

20. Governing law and disputes

These Terms are governed by Swedish law, excluding its conflict-of-law rules. Disputes are to be settled by Swedish courts, with Gothenburg District Court (Göteborgs tingsrätt) as the court of first instance.

Provider Participation Terms

Version 1.0 · Effective date: 24 September 2026

1. About these terms

1.1 These Provider Participation Terms (the "Terms") form a binding agreement between A&A Foundry AB, registration number 559602-9685, Sweden ("Alignr", "we", "us"), and the logistics company you represent ("Provider", "you").

1.2 The Terms apply when you create a provider account, claim or manage a provider profile, review opportunities, open a Qualified Opportunity Access, buy an extension or submit a quote.

1.3 You accept the Terms by actively ticking the acceptance box. We record who accepted, when, and which version was accepted. You can save or download the Terms at any time from askalignr.com/terms, including before you pay.

1.4 The Alignr Website Terms of Use also apply. If they conflict with these Terms, these Terms take precedence. How we process personal data is described in the Alignr Privacy Policy.

2. Definitions

  • Alignr Match: the flow that captures a merchant's requirements, identifies relevant providers, explains why they are relevant and enables a qualified connection.
  • Marketplace: the public directory of logistics providers for discovery and factual comparison.
  • Merchant: a company that uses Alignr to find logistics services.
  • Opportunity: a merchant's logistics need submitted through Alignr Match.
  • Opening window: the period during which you may open an opportunity you have been invited to, as described in section 7.4.
  • QOA (Qualified Opportunity Access): paid access to one opportunity that Alignr assessed as meeting its qualification criteria when you opened it.
  • Replacement credit: a credit worth one QOA, issued under section 9.

3. Alignr is a matching service only

3.1 Alignr connects. It does not sell logistics. Alignr identifies merchants whose needs are relevant to your capabilities and gives you the option to access them. Alignr is not a customer, agent, broker, reseller or representative of you or of any merchant.

3.2 Alignr is not a party to your dealings with merchants. Any quote, negotiation, agreement, order, payment or service between you and a merchant is solely between you and that merchant. Alignr does not sign, guarantee, supervise or enforce any such agreement and has no obligation to mediate disputes.

3.3 Alignr is not responsible for merchants. To the fullest extent permitted by law, and except as set out in section 9, Alignr is not liable for anything that arises between you and a merchant, including:

  • whether a merchant responds, meets you, accepts a quote or signs an agreement;
  • a merchant's creditworthiness, payment, insolvency or conduct;
  • changes to a merchant's budget, timeline, volumes or plans;
  • goods, inventory, shipments, customs or regulatory matters;
  • your quotes, prices, commercial terms and service performance;
  • any dispute, claim or loss between you and a merchant.

3.4 Your own assessment. You decide whether an opportunity is commercially attractive and on what terms you quote. You are responsible for credit checks, contracts, insurance and compliance in your relationship with a merchant.

4. Price, purchases and payment

4.1 Your provider profile and core account are free.

4.2 Opening one QOA costs €99 excluding VAT. One optional 48-hour extension of your opening window costs €19 excluding VAT.

4.3 There is no subscription, no success fee and no commission on any agreement between you and a merchant.

4.4 Sweden first. At launch, QOA and extensions can only be purchased by companies registered in Sweden with a Swedish organisation number.

4.5 Currency and VAT. Prices are stated in EUR excluding VAT. Swedish VAT at the applicable rate is added and shown before you confirm payment. Any currency conversion, bank or card fees are paid by you.

4.6 Company details. The company details in your account are used for receipts and must be correct before you pay.

4.7 No right of withdrawal. Purchases are made between businesses, and no right of withdrawal applies. A QOA is delivered when it opens and an extension when the extra time is added. Neither can be cancelled after that. Credits and refunds are available only under section 9.

4.8 Disputed charges. If you dispute a correct charge with your card issuer instead of using the claims process in section 9, Alignr may suspend your account until the matter is resolved and may recover the disputed amount.

5. Eligibility, account and profile

5.1 Alignr is for businesses only. You confirm that you represent an existing company, that you are authorised to act for it and that you are at least 18 years old.

5.2 You must keep your account, contact and billing information accurate and current, including your VAT number where applicable, and keep your login details secure. You are responsible for all activity under your account.

5.3 Profile states. The Marketplace uses the following states:

  • Listed: a public provider record exists. The company has not necessarily reviewed it.
  • Unclaimed: no authorised company user controls the profile. This does not mean the data is incorrect.
  • Claimed: a company user has proven domain access and controls the profile. Claimed does not mean the capabilities are verified.
  • Field verified: one specific fact has been supported by a source or Alignr review. Other fields do not inherit that verification.

5.4 Profiles from public sources. Alignr may publish factual provider profiles based on public or commercially available business information before a profile is claimed.

5.5 Claiming. To claim a profile, you must prove access to the company's domain. Alignr may request further evidence and may reject or revoke a claim that cannot be verified.

5.6 Accuracy. You must keep your profile accurate, complete and current and must not make misleading claims. Alignr may request evidence, mark information as unverified or unknown, edit or hide inaccurate information, or remove a profile that breaches these Terms.

6. Matching, ranking and fairness

6.1 Providers are invited and ranked from the merchant's operational requirements and provider capability data.

6.2 No payment, plan, badge or unlock history affects Match Scores, ranking, invitations or selection. Payment affects only your access to an opportunity. Alignr does not sell placement.

6.3 Alignr does not guarantee any number of invitations or opportunities.

6.4 Reviews may only come from verified customer relationships or verified interactions. An aggregate rating is shown only when at least three verified reviews exist.

7. Invitations and QOA

7.1 Invitations. Up to five relevant providers may be invited to an opportunity. Fewer may be invited.

7.2 Qualification. Alignr applies the following qualification criteria, based on the information and verification reasonably available to it when the QOA is opened:

  • a real, existing and verifiable company;
  • a business contact involved in the 3PL decision;
  • a sufficiently complete operational profile and mandatory requirement set;
  • a stated intention to select or change 3PL within six months;
  • consent for selected providers to contact the merchant about the opportunity;
  • not a test, research exercise, consultancy request or duplicate opportunity.

Alignr may rely on representations made by the merchant regarding authority, intent, timing and operational requirements. Qualification is a point-in-time assessment and is not a warranty of the merchant's future conduct, responsiveness, continuing intent or commercial outcome. Your sole remedies are those expressly stated in section 9.

7.3 Anonymised preview. Before paying, you see the merchant's anonymised industry or category, operational scale and ranges, markets, service expectations, integrations, returns or special handling, timing, Match strengths and visible gaps. Reviewing and declining is free.

7.4 Opening window. You have 72 hours from when your invitation is sent to open and pay for the opportunity. After that, the invitation expires for you and the opportunity can no longer be opened by you. The opportunity opens only when payment is confirmed. Payment is processed by our payment service provider. You receive a confirmation and a receipt for each purchase.

7.5 Extension. While your opening window is still open and you have not opened the opportunity, you may buy one extension for €19 excluding VAT. It adds 48 hours to your remaining opening window. The extension applies to that invitation only, does not open the opportunity and cannot be bought after the window has closed.

7.6 Your contact details. When you create your account, you provide your company name, organisation number, contact person, email address and telephone number. You must keep them current in your account settings. After confirmed payment, Alignr shares your company name, contact details and a link to your Alignr profile with the merchant.

7.7 What you receive. After confirmed payment, you receive the merchant's company name, organisation number, contact person, email address and telephone number, as entered by the merchant, together with the full operational brief. What happens between you and the merchant after that is governed by section 3.

7.8 Independence. All invited providers may open an opportunity independently. You will not see who else was invited, who paid or what others quote. Nothing is reserved for any provider.

7.9 No guarantee of outcome. A QOA is access to a qualified commercial case. Alignr does not guarantee a response, meeting, accepted quote, contract or revenue.

8. Use of merchant information

8.1 You may use merchant information obtained through Alignr only to assess, contact and quote for the relevant opportunity.

8.2 You must protect merchant information and not sell it, share it or add it to unrelated marketing lists. You may share it only with your staff and advisers who need it for the opportunity and are bound by confidentiality.

8.3 You must not use a preview to identify a merchant and contact it outside Alignr to avoid paying for a QOA, or otherwise circumvent the anonymisation or payment process.

8.4 For your own communication with a merchant, you act as an independent controller and must comply with applicable data protection law. Alignr is responsible as controller for its own collection, storage and disclosure of the data, as described in the Privacy Policy. This does not limit any rights that an individual may have under applicable data protection law.

9. Invalid opportunities, credits and refunds

9.1 When a replacement credit applies. You are entitled to one replacement credit only if, at the moment you opened the QOA:

  • the company or business contact was false or did not exist;
  • the contact information was technically invalid;
  • the request was unauthorised; or
  • mandatory operational information was materially incorrect.

9.2 When no credit applies. No credit or refund is given when:

  • the merchant does not respond, regardless of documented contact attempts;
  • the merchant pauses, changes budget or timeline, or withdraws later;
  • you lose the case, receive a rejection or submit an uncompetitive quote;
  • you change your mind, let your opening window close or fail to follow up;
  • the disclosed requirements make the case commercially unattractive to you;
  • there are minor discrepancies that do not materially change qualification.

9.3 How to claim. You must submit a claim within 14 calendar days of opening the QOA, through the provider portal or to hello@alignr.se, with a description of the error and supporting evidence. Claims submitted later are not considered.

9.4 Remedy. An approved claim gives one replacement credit worth €99. The credit is valid for 12 months from issue, can be used to open one QOA, is not transferable and cannot be redeemed for cash.

9.5 Extension fees. An extension fee is not credited or refunded, including when a claim for the same opportunity is approved or when you do not open the opportunity, because the extension has already been delivered as additional time.

9.6 Billing errors. Confirmed duplicate charges and technical billing errors caused by Alignr are refunded in cash to the original payment method.

9.7 Exclusive remedies. Sections 9.4 and 9.6 are your only remedies in connection with the qualification of an opportunity, an invalid opportunity or a billing error.

10. Your obligations

10.1 Your quotes and commercial terms are your responsibility and must be accurate, professional and not misleading.

10.2 Once you open an opportunity, you must, within five business days of opening it, either submit a quote or notify the merchant and Alignr that you will not proceed. You notify Alignr at hello@alignr.se or, where available, through the provider portal.

10.3 If you repeatedly fail to comply with section 10.2, Alignr may suspend your account or stop inviting you to opportunities. This does not entitle you to any credit or refund.

10.4 You must not scrape, copy or systematically extract data from Alignr, interfere with the service, test its security without our written permission, impersonate anyone, manipulate reviews or rankings, or use Alignr to build a competing service.

11. Your content

11.1 You keep ownership of your content, including your company name, logo and trademarks.

11.2 You grant Alignr a non-exclusive, royalty-free licence to publish and display your content on Alignr and in communications about Alignr, to use it for matching, and to provide, secure and improve the service.

11.3 Alignr may use profile, quote and interaction information to develop and improve its matching, ranking and qualification models, and to produce aggregated market statistics. Aggregation, de-identification or pseudonymisation is used where reasonably practicable.

12. Confidentiality

12.1 Each party will keep the other party's non-public information confidential and use it only for the purposes of these Terms.

12.2 This does not apply to information that is public, already lawfully known to the receiving party, independently developed, or required to be disclosed by law or a public authority.

13. Intellectual property

The Alignr service, brand, software, design, data compilations and content belong to Alignr or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms.

14. Availability and changes

14.1 The service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation.

14.2 We may change, add or remove features. We will give at least 30 days' notice of price changes. A price change never applies to an opportunity you have already opened or an extension you have already bought.

15. Limitation of liability

15.1 To the fullest extent permitted by law, Alignr is not liable for indirect or consequential loss, including lost profit, lost revenue, lost business, lost contracts, loss of goodwill or loss of data.

15.2 To the fullest extent permitted by law, Alignr's total liability to you under or in connection with these Terms is limited to the fees you paid to Alignr in the 12 months before the event giving rise to the claim.

15.3 Any claim against Alignr, other than a claim under section 9, must be notified in writing within six months of when you became aware, or should have become aware, of the circumstances giving rise to it. Otherwise the claim is lost.

15.4 Nothing in these Terms limits liability for intentional misconduct or gross negligence, or any liability that cannot be limited under mandatory law.

16. Indemnity

16.1 You will indemnify and hold Alignr harmless from third-party claims, direct losses and reasonable legal costs to the extent caused by:

  • your breach of these Terms;
  • inaccurate, incomplete or unauthorised profile or contact information;
  • your misuse of merchant information, including breaches of data protection law;
  • your unlawful conduct or infringement of third-party rights, including in your profile content;
  • your misuse of the service; or
  • a dispute between you and a merchant in which Alignr is not at fault.

16.2 Alignr will tell you promptly about any claim covered by this section and give you reasonable information about it.

17. Suspension and termination

17.1 You may close your provider account at any time by contacting hello@alignr.se. Unused replacement credits lapse when the account is closed. A factual public profile may remain in the Marketplace as described in section 5.4, subject to your rights under the Privacy Policy.

17.2 Alignr may suspend or close your account, or revoke a profile claim, if you provide false information, misuse merchant information, circumvent payment, repeatedly fail to comply with section 10.2, abuse or manipulate the service, breach these Terms, or if required by law. Where reasonable, we will notify you and state our reasons. Unused replacement credits lapse if your account is closed for breach.

17.3 Sections 3, 8, 9.5, 9.6, 11, 12, 15, 16 and 19 to 21 survive termination.

18. Content moderation

Alignr may review, restrict or remove content and accounts as described in the Content moderation and reporting section of the Alignr Website Terms of Use, which also explains how to report content and how to ask us to review our decisions.

19. General terms

19.1 Force majeure. Alignr is not liable for failure or delay caused by circumstances beyond its reasonable control, including outages of hosting, payment or communication providers, cyberattacks, strikes, pandemics, war, government action or natural events. Opening windows affected by a service outage may be extended at Alignr's discretion.

19.2 Notices. We send notices to the email address linked to your account. You send notices to hello@alignr.se. Email notices are received the next business day after sending.

19.3 Assignment. You may not transfer your rights or obligations without our written consent. Alignr may transfer the agreement to a company in the same group or to a buyer of the Alignr business.

19.4 Severability. If any provision is held invalid, the rest of the Terms remain in force, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.

19.5 Entire agreement. These Terms, together with the documents referred to in them, form the entire agreement on their subject matter.

19.6 No waiver. A failure or delay in enforcing a right is not a waiver of that right.

19.7 Independent parties. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.

19.8 Language. These Terms are written in English. If a translation is provided, the English version prevails.

20. Changes to these Terms

We may update these Terms. Each version has a version number and effective date. We will notify you of material changes at least 30 days in advance and may require a new acceptance before you continue to use the affected features. A change never applies retroactively to a QOA you have already opened.

21. Governing law and disputes

These Terms are governed by Swedish law, excluding its conflict-of-law rules. Disputes are to be settled by Swedish courts, with Gothenburg District Court (Göteborgs tingsrätt) as the court of first instance.
